Geo Participation and Services Terms
Effective August 25, 2026
These Geo Participation and Services Terms ("Terms") apply to your access to and use of the websites, applications, interfaces, network functions, subscriptions, paid features, protocol functions, and other services made available by Geo Browser PB LLC, with an address at 103 Montgomery Street, San Francisco, CA 94129 ("Geo," "we," "us," or "our") (collectively, the "Geo Services"). Geo Services include debates, interviews, recorded sessions, content creation, knowledge-graph contributions, source curation, comments, reactions, votes, rankings, research, community activities, product testing, points activities, and other interactive features (collectively, the "Participation Features").
These Terms supplement the Geo General Terms and Privacy Policy presented through the applicable Geo interface. By selecting an acceptance control, creating or using an account, submitting a Contribution, joining a recorded activity after receiving notice, voting, commenting, purchasing or subscribing to a feature, initiating a protocol transaction, or otherwise using a Geo Service, you agree to these Terms. If you do not agree, do not use the Geo Services.
THE GENERAL TERMS INCLUDE A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. PLEASE REVIEW THEM CAREFULLY.
1Scope and eligibility
You must be at least 18 years old, have legal capacity to accept these Terms, and be legally permitted to use the Geo Services in your location.
Your participation must comply with applicable law and with any contract, employment policy, university policy, professional rule, confidentiality duty, court order, or other obligation that applies to you.
You represent that you are not subject to sanctions or trade restrictions that prohibit Geo from making the Geo Services or any related benefit available to you. Geo may request information reasonably needed to verify identity, eligibility, sanctions status, account ownership, payment authority, wallet ownership, or compliance.
Geo may approve, limit, condition, suspend, or end access to any Geo Service for legal, compliance, safety, quality, integrity, operational, geographic, or risk-management reasons.
2Participation
Participation is voluntary. Geo may provide topics, claims, questions, prompts, formats, deadlines, technical instructions, community rules, or moderation standards. You remain responsible for the views, statements, votes, rankings, sources, examples, and materials you choose to provide.
Geo may decide whether, when, where, and how to publish, display, rank, recommend, excerpt, delay, moderate, restrict, remove, or stop using any Contribution. Geo has no obligation to publish, preserve, promote, or continue displaying any Contribution or Participation Feature.
Geo may refuse or remove material that Geo reasonably believes violates these Terms, the General Terms, applicable law, third-party rights, platform rules, community standards, or Geo's safety and integrity requirements.
3No compensation
Unless Geo signs a separate written agreement that expressly provides otherwise, your participation is voluntary and unpaid. You will not receive cash, digital assets or related rights, equity, revenue share, royalties, prizes, ownership rights, or other financial consideration for participating.
Geo may reimburse an expense only when Geo approved the expense in writing before you incurred it. Any paid assignment must be documented under a separate written services agreement or mission order signed or otherwise expressly approved by Geo.
Points do not constitute compensation and do not create an employment, contractor, agency, fiduciary, partnership, or joint-venture relationship.
4Recording consent
Some Participation Features involve recorded activities (each, a "Recorded Activity"). Before or when you join a Recorded Activity, Geo may notify you that Geo will capture video, audio, photographs, screen content, chat, transcripts, captions, technical data, participation data, and related metadata (collectively, "Recordings").
By affirmatively accepting a recording notice or continuing to participate after receiving clear notice, you consent to the capture and use of the Recordings under these Terms. You must tell Geo before recording begins if you do not consent or if an attribution detail should be omitted or corrected. You may then decline to participate.
Geo may stop, reschedule, moderate, or decline to publish a Recorded Activity. Geo's rights in Recordings already created are governed by Sections 5 through 8 below.
5Contributions and content rights
"Contribution" means any content, communication, Recordings, profile material, name or attribution information, source, link, file, image, video, audio, transcript, comment, reaction, vote, ranking, research, data, feedback, or other material you submit, create, communicate, or make available through a Participation Feature. Direct support communications that are clearly intended to remain private are excluded unless you separately authorize their use.
As between you and Geo, you retain ownership of the original Contributions you create and your pre-existing research, publications, ideas, materials, tools, trademarks, and other intellectual property, subject to the rights you grant in these Terms and the rights of others. You grant Geo a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to:
- host, store, copy, reproduce, display, perform, publish, distribute, transmit, syndicate, archive, index, and make available Contributions;
- edit, excerpt, clip, crop, caption, transcribe, translate, summarize, format, thumbnail, combine, and adapt Contributions;
- use Contributions in Geo products, websites, applications, social channels, newsletters, press materials, community materials, paid advertising, internal materials, investor materials, commercial and due-diligence materials, and other Geo business materials;
- make Contributions available through Geo affiliates, successors, service providers, contractors, platforms, hosting providers, distribution partners, researchers, and technical infrastructure; and
- process Contributions to create transcripts, summaries, embeddings, recommendations, metadata, rankings, moderation signals, integrity signals, search results, and other systems or features used to operate, secure, evaluate, or improve Geo.
These rights apply in any media or format now known or later developed. They include the right to use Contributions without further approval or payment, subject to applicable law and the editorial integrity commitment in Section 7.
When a Participation Feature clearly displays an open, public, or community license before publication, you also authorize Geo to apply that license to the applicable Contribution. Content published to public or decentralized infrastructure may remain available under that license after your account closes.
The license in this Section survives removal of a Contribution or closure of an account to the extent needed for content already published, incorporated into Geo, sublicensed, preserved in backups, or recorded on public, third-party, or decentralized infrastructure.
6Name, likeness, voice, and affiliation
You authorize Geo to use the name, image, likeness, voice, handle, biography, title, credentials, professional or academic affiliation, and other attribution details you provide in connection with your Contributions, Recordings, participation, and Geo's promotion of them.
Affiliation information provides identification and context. It does not imply that your university, employer, institution, company, funder, or organization endorses Geo, your Contribution, or your statements.
You are responsible for keeping attribution information accurate and for promptly notifying Geo of any correction request.
7Editorial integrity
Geo may edit, excerpt, format, caption, translate, summarize, rank, recommend, and promote Contributions. Geo will not knowingly edit a recorded statement in a way that materially changes its meaning or misrepresents the speaker's position.
Short clips, thumbnails, captions, summaries, feeds, rankings, and previews may present excerpts from a longer Contribution. Geo may add context, labels, warnings, source links, opposing views, moderation notices, or corrections.
8Your ownership and reuse rights
You may copy, download, edit, adapt, publish, distribute, display, perform, and commercialize your own Contributions in any media or format. To the extent Geo owns or controls the relevant rights, Geo also grants you a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to do the same with any clip, image, excerpt, transcript, link, or other asset that Geo provides for reuse and that depicts, quotes, or otherwise incorporates your participation.
If Geo clearly marks an asset with a Creative Commons or other public license, that license also applies according to its terms and may grant broader reuse rights.
These permissions do not grant rights that Geo does not own or control, including rights in another person's Contribution, name, likeness, voice, music, artwork, source material, personal information, or other protected material. They also do not grant a license to Geo trademarks, logos, branding, interface, design, software, or technology except for their incidental appearance in the asset. You may identify Geo as the source, but you may not imply Geo's endorsement, sponsorship, or approval without written authorization.
Your use remains subject to applicable law, privacy and publicity rights, the rules of any service you use, and any attribution, source, rights, safety, correction, or sponsorship notice that accompanies an asset. You may not present another person's name, likeness, voice, Contribution, or statement in a misleading, harassing, defamatory, deceptive, or materially out-of-context manner.
9Content and conduct rules
You agree to participate honestly, lawfully, and in good faith. You will not:
- submit material you know is false, materially misleading, defamatory, threatening, harassing, hateful, illegal, fraudulent, or infringing;
- impersonate another person or misstate your identity, credentials, affiliation, authority, experience, conflicts, or sources;
- disclose confidential information, trade secrets, non-public employer or institutional information, patient information, private personal data, or material protected by an NDA or professional duty;
- submit third-party copyrighted, trademarked, confidential, private, or publicity-protected material unless you have all rights and permissions needed for Geo's use under these Terms;
- manipulate votes, rankings, reactions, referrals, points, reputation, or engagement through bots, duplicate accounts, coordinated deception, purchased activity, undisclosed incentives, credential sharing, technical circumvention, or other inauthentic means;
- sell, transfer, condition, or exchange a vote, ranking, moderation decision, editorial action, or community role for payment or another benefit without Geo's prior written approval and all required disclosures;
- introduce malware, scrape or access restricted data, bypass access controls, interfere with the Participation Features, or probe systems without authorization;
- use a Contribution to provide personalized medical, legal, tax, financial, or investment advice; or
- use the Participation Features in a way that violates applicable law, professional rules, third-party rights, or service rules.
Geo may investigate suspected violations and may preserve or disclose relevant information when reasonably necessary to protect users, enforce these Terms, respond to legal process, or comply with law.
10Conflicts and public disclosures
You must disclose any material financial, employment, research-funding, sponsor, political, investment, personal, or other conflict that could reasonably affect how people understand a Contribution.
If you make a public statement about Geo while you have a material connection to Geo, including payment, free services, employment, a grant, digital-asset rights, or another benefit, you must disclose that connection clearly and conspicuously as required by law and the applicable service. A separate paid-services agreement may impose additional requirements.
You may express your own views. You have no authority to bind Geo, make commitments for Geo, or present yourself as Geo's spokesperson unless Geo expressly authorizes that role in writing.
11Financial and regulated communications
You are not authorized to speak for Geo about any unannounced product, service, digital asset, distribution, market availability, listing, price or value, financing, investment opportunity, legal or regulatory status, financial return, reward rate, or trading strategy.
You must not claim or imply that participation, Contributions, rankings, points, or community status guarantee a digital asset, allocation, equity, investment upside, priority access, or another financial benefit.
You must not promote, recommend, solicit, or encourage the purchase, sale, holding, staking, or trading of any digital asset on Geo's behalf without separate written authorization approved by Geo's legal counsel.
You must not use non-public Geo information to trade or tip another person, and you must not engage in deceptive promotion, wash trading, spoofing, coordinated manipulation, or other conduct intended to create a false or misleading appearance of market activity, price, demand, or value.
12Public and decentralized infrastructure
Contributions published through Geo may be stored, referenced, indexed, licensed, or distributed through public, third-party, decentralized, blockchain-linked, or content-addressed infrastructure. Once published, a Contribution may be copied, preserved, indexed, licensed, or redistributed by others.
Geo cannot guarantee that public Contributions can be fully deleted, recalled, corrected everywhere, or made inaccessible. Account closure or removal from a Geo-controlled interface may not remove copies held by third parties or recorded on decentralized infrastructure.
13Points program
Geo may operate an experimental and discretionary points program (the "Points Program") to recognize certain participation. Eligibility, qualifying actions, calculations, caps, timing, and account requirements may vary by activity, location, participant, program phase, and integrity assessment.
Points:
- are non-transferable and may not be sold, assigned, pledged, exchanged, or combined except as Geo expressly permits;
- are not cash, cash equivalents, property, stored value, a security, a financial instrument, a loyalty entitlement, or compensation;
- do not confer ownership, equity, debt, governance, distribution, redemption, liquidation, proprietary, or other financial or legal rights;
- have no monetary value and do not guarantee or imply any current or future benefit, digital asset, allocation, distribution, reward, payment, or eligibility; and
- exist only within the Points Program and may depend on accounts, wallets, networks, or third-party integrations that Geo does not control.
Geo may establish, change, pause, cap, recalculate, correct, reduce, revoke, expire, or discontinue points, criteria, or the Points Program at any time, including retroactively to correct errors, address abuse, comply with law, or protect program integrity. Geo's good-faith records and determinations regarding points are final, subject to rights that cannot be waived by law.
You are responsible for any taxes or reporting obligations that may arise from your participation or any benefit you receive. Geo may require identity, tax, sanctions, wallet, or payment information before providing a benefit.
14Fees, subscriptions, and service credits
Some Geo Services may require a one-time, recurring, usage-based, or prepaid fee. Before charging you, Geo will present the applicable price, currency, billing period, renewal terms, included usage, material restrictions, taxes or fees, and any feature-specific cancellation or refund terms. You authorize Geo and its payment processors to charge the payment method you provide for amounts you approve and represent that you are authorized to use that payment method. Purchases made through an app store, marketplace, wallet provider, or other third party may also be governed by that provider's payment, cancellation, and refund terms.
If a subscription renews automatically, Geo will clearly disclose the renewal terms before purchase, obtain the consent required by law, and provide an acknowledgment you can retain. You may cancel through the method disclosed at purchase and, when you subscribed online, through an online cancellation method. Cancellation generally takes effect at the end of the current paid period unless the offer terms or applicable law provide otherwise. Geo will provide notices of fee changes, trial conversion, or renewal when required by law.
Except as required by law or expressly stated at purchase, fees are non-refundable after the applicable service or billing period begins. Geo may change prices prospectively with the notice and renewed consent required by law. You are responsible for applicable taxes, duties, and charges, excluding taxes based on Geo's net income.
Geo may offer prepaid service credits, capacity units, or similar instruments that can be used only for specified Geo Services. The applicable purchase terms will state their permitted use, quantity, expiration, rollover, and refund rules. Unless those terms expressly state otherwise, service credits are non-transferable, have no cash or digital-asset value outside the applicable Geo Service, and cannot be redeemed, traded, withdrawn, or exchanged for money or another asset.
15Protocol transactions, wallets, and network fees
Some Geo Services may allow you to initiate a transaction through a blockchain, distributed network, smart contract, wallet, or third-party protocol. A transaction may require a network fee, gas fee, protocol fee, service fee, or third-party charge. The confirmation screen or applicable feature terms will identify fees collected by Geo when reasonably practicable. Other fees may be imposed by a network or third party and may not be paid to or controlled by Geo.
Fee estimates may change before confirmation and are not guarantees. Network transactions may be delayed, fail, or become final and irreversible once submitted. A failed, replaced, or reverted transaction may still incur a fee. You are responsible for reviewing transaction details, destination addresses, permissions, and displayed fees before authorizing a transaction.
You are responsible for the security of any wallet, private key, recovery phrase, authentication method, or third-party account you use. Geo cannot reverse a network transaction or recover assets or credentials that Geo does not control. Geo may delay, reject, pause, or require additional verification for a transaction when reasonably necessary for security, sanctions, legal, compliance, fraud-prevention, or network-integrity reasons.
16Additional regulated and digital-asset features
If Geo ever makes a feature involving a digital asset, staking, delegation, bonding, validation, rewards, redemption, custody, or similar activity available, that feature will be governed by separate feature terms and risk disclosures presented before use. Those materials may include eligibility, geographic, identity, sanctions, tax, custody, technical, and compliance requirements and may require separate affirmative acceptance.
References in these Terms are contractual reservations only. They do not announce, offer, sell, or solicit any digital asset or feature, promise that any such feature will become available, or state any timing, terms, allocation, price, value, reward, return, liquidity, market availability, or listing.
If activated, such features may involve smart-contract failure, network disruption, cybersecurity events, loss of credentials or assets, slashing or other penalties, bonding or redemption delays, custody and counterparty risk, changing legal treatment, tax consequences, volatility, illiquidity, and variable or zero rewards. Geo does not promise or guarantee a fixed reward, yield, profit, value, or investment return. The separate feature terms will identify the responsible entity, applicable mechanics, and controlling conditions. Geo may restrict, pause, modify, or discontinue a feature as provided in those terms and applicable law.
Nothing in these Terms is an investment recommendation, financial advice, or an invitation to trade. Any feature-specific terms control over these Terms for the feature they govern.
17Privacy, data, and account security
Geo may collect and use contact details, account and profile information, wallet information, billing and subscription information, transaction data, device and technical data, participation history, Contributions, Recordings, likeness, voice, metadata, and related information to administer participation and payments, operate and improve Geo, publish and promote Contributions, prevent abuse, maintain records, comply with law, and protect Geo, participants, and users. Geo's Privacy Policy provides further information about these practices and applicable privacy rights.
You are responsible for protecting credentials, private links, wallet access, and unreleased product access. You must promptly notify Geo of unauthorized access, credential compromise, or misuse connected to your account.
You must not submit another person's sensitive or private information unless you have a lawful basis and all notices and permissions required for Geo to use that information as described in these Terms and the Privacy Policy.
18Third-party services and automated tools
Geo Services may rely on third-party platforms, payment processors, app stores, wallets, networks, hosting providers, recording tools, artificial-intelligence tools, or other services. Your use of those services is subject to their terms and availability. Geo is not responsible for a third party's acts, omissions, outages, restrictions, or changes.
If you use an automated or artificial-intelligence tool to prepare a Contribution, you remain responsible for accuracy, rights clearance, confidentiality, disclosures, and compliance. You must not place non-public Geo information or another person's private information into an external tool without written authorization and appropriate safeguards. You will disclose material automated assistance when Geo requests it or when law, professional standards, or the applicable Participation Feature requires it.
19Feedback
If you provide an idea, suggestion, evaluation, bug report, or other feedback about Geo, you grant Geo a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use and commercialize that feedback without restriction or payment. This Section does not transfer ownership of your pre-existing materials.
20Relationship
Participation or use of Geo Services under these Terms does not create an employment, independent-contractor, partnership, joint-venture, agency, fiduciary, exclusive, advisory, or representative relationship between you and Geo.
You have no authority to bind Geo, incur obligations for Geo, collect money for Geo, or speak on Geo's behalf.
21Suspension, removal, and termination
You may stop participating or using Geo Services at any time. Subscription cancellation and any related refund are governed by Section 14, the terms presented at purchase, and applicable law. Geo may remove content, revoke points, limit visibility, suspend access, close accounts, disqualify participation, or terminate access when Geo reasonably believes action is needed for legal, compliance, safety, quality, integrity, operational, or risk-management reasons.
Termination does not affect rights and obligations that arose before termination. Sections concerning content rights, publicity rights, public infrastructure, feedback, releases, indemnity, liability limits, disputes, and other provisions intended by their nature to survive will continue.
22Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE GEO SERVICES, PARTICIPATION FEATURES, POINTS PROGRAM, CONTRIBUTIONS, RECORDINGS, PROTOCOL FUNCTIONS, AND RELATED TECHNOLOGY ARE PROVIDED "AS IS" AND "AS AVAILABLE." GEO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND UNINTERRUPTED OPERATION.
Geo does not guarantee publication, audience reach, rankings, points, reputation, referrals, account access, compatibility, storage, correction, deletion, transaction completion, fee estimates, future benefits, or the conduct of other participants or third parties.
Nothing in a Contribution or Geo Service constitutes Geo's medical, legal, tax, financial, or investment advice.
23Release and indemnity
To the maximum extent permitted by law, you release Geo and its affiliates, successors, officers, directors, employees, contractors, service providers, distribution partners, and platforms from claims arising from Geo's authorized recording, editing, use, publication, processing, promotion, or distribution of your Contributions, Recordings, name, likeness, voice, attribution, and related materials under these Terms.
You will defend, indemnify, and hold those parties harmless from third-party claims, losses, liabilities, damages, penalties, judgments, costs, and reasonable attorneys' fees arising from:
- your breach of these Terms or the General Terms;
- your Contribution, statement, vote, ranking, source, or other participation;
- infringement, misappropriation, or misuse of third-party rights;
- disclosure of confidential, private, regulated, or protected information;
- manipulation, fraud, undisclosed incentive, or required disclosure failure; or
- violation of law, professional duties, or third-party service rules.
Geo is not responsible for third-party copying, redistribution, indexing, commentary, preservation, or misuse of public Contributions outside Geo's reasonable control.
24Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEO AND ITS AFFILIATES, SUCCESSORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, REPUTATION, GOODWILL, POINTS, SERVICE CREDITS, DIGITAL-ASSET EXPECTATIONS, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO THE GEO SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF GEO AND THOSE PARTIES ARISING FROM OR RELATING TO THESE TERMS OR THE GEO SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID DIRECTLY TO GEO FOR THE GEO SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limitations do not apply to liability that cannot be excluded or limited by law.
25Changes to these Terms
Geo may update these Terms. Geo will post the updated version and effective date and will provide additional notice or obtain renewed assent when required by law or when Geo determines that a change materially affects participation, payment, subscription, transaction, or other user rights.
Updated terms apply prospectively from their effective date. Rights already granted for Contributions, Recordings, and materials submitted under an earlier version continue under the version accepted when they were submitted, together with any later permissions you expressly grant.
26Assignment
You may not assign or transfer these Terms without Geo's written consent. Geo may assign or transfer them, in whole or in part, to an affiliate, successor, acquirer, reorganized entity, or entity that operates Geo or related products.
27General Terms, governing law, and disputes
The Geo General Terms are incorporated into these Terms. The General Terms govern dispute resolution, including the binding arbitration provision and class action waiver described there.
If a matter is not addressed by the General Terms, these Terms are governed by Delaware law, without regard to conflict-of-law rules. If the arbitration provision does not apply to a particular claim, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Delaware, except that Geo may seek injunctive or equitable relief in any court with proper jurisdiction.
If these Terms conflict with the General Terms, these Terms control for the Geo Services, Participation Features, Contributions, Recordings, Points Program, payments, subscriptions, and protocol transactions they cover. Feature-specific purchase terms control for the applicable purchase. A separate signed paid-services agreement or mission order controls solely for the provider services, compensation, and deliverables it covers.
28Miscellaneous and contact
These Terms, the General Terms, the Privacy Policy, applicable purchase or feature terms, and any rules or notices expressly incorporated into a Geo Service form the agreement governing your use of the Geo Services. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.
Geo's failure to enforce a provision is not a waiver. Headings are for convenience. "Including" means "including without limitation." Electronic acceptance, records, notices, and signatures have the same effect as paper records to the extent permitted by law.
